1. What RakamHQ is
RakamHQ ("RakamHQ", "we", "us") provides a financial-intelligence and reconciliation service for businesses in Nepal. We collect the records your money leaves across systems that do not talk to each other - provider reports from eSewa, Khalti and Fonepay, bank statements, your order exports and cash totals - match them into one trustworthy ledger, and present a proven daily view of your money.
These Terms of Service (the "Terms") form a binding agreement between you and RakamHQ and govern your access to and use of our websites, applications, and services (together, the "Service"). By creating an account, connecting a source, or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you are authorised to bind that business.
2. Accounts & eligibility
To use the Service you must create an account and be able to form a binding contract. You are responsible for the activity under your account and for keeping your credentials secure.
- Provide accurate account and business information, and keep it up to date.
- Keep your sign-in credentials (phone, email, password) confidential; notify us promptly of any unauthorised use.
- You are responsible for the actions of everyone you invite to your organisation and the access you grant them.
3. Your data & your responsibilities
You retain all rights to the data you provide - your reports, statements, orders and documents ("Your Data"). You grant RakamHQ a limited licence to host, process and display Your Data for the sole purpose of providing the Service to you.
You appoint RakamHQ as your authorised data processor and agent for reconciling and reporting on your money. You are responsible for the accuracy and legality of the data you provide, and for ensuring you have the right to share it with us.
4. Connected sources & credentials
Where you connect a payment provider, you provide API keys only - never dashboard logins or passwords. This is both a security measure and standard practice for an authorised service provider.
- You may revoke any credential at any time, and we will stop using it immediately.
- We store credentials encrypted, never display them in full, and log every use.
- You are responsible for complying with your providers' own terms when you authorise us to access data on your behalf.
5. The concierge service
We may offer a free "concierge" reconciliation: you send us last month's files and we return a one-page reconciled close. Files you upload are used only to prepare and discuss that reconciliation and to contact you about it. We do not charge for the concierge offer, and providing it creates no obligation on either side to continue.
6. Plans, credits & billing
The Service is offered on plans with usage caps (reconciled volume, seats, AI chat) plus a monthly credit allowance for usage-based extras. Pricing shown during early access is indicative and may change.
- Paid plans renew for the period you select until cancelled. You authorise us (or our payment partners) to charge the applicable fees.
- Credits are consumed by metered usage and, unless stated otherwise, do not carry a cash value and expire at the end of the period.
- We are not in your payment flow and never take a percentage of your money.
7. Refund execution
Where the Service can execute a refund on a supported rail, it does so only on your explicit, authenticated confirmation, within the role and value limits you configure. You remain responsible for the commercial decision to refund and for the funds involved. RakamHQ never holds your money and is not a party to the underlying transaction.
8. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Use the Service for any unlawful, fraudulent or infringing purpose.
- Upload data you do not have the right to share, or that contains malware.
- Attempt to breach security, access another organisation's data, or reverse-engineer the Service.
- Resell or provide the Service to third parties except as expressly permitted.
9. Intellectual property
The Service, including its software, design, and content (excluding Your Data), is owned by RakamHQ and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active. Feedback you provide may be used by us without restriction.
10. Availability, accuracy & disclaimers
We aim for high availability and for every figure to trace to an evidence row, but the Service is provided on an "as is" and "as available" basis without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it constitutes financial, tax, or legal advice.
11. Limitation of liability
To the maximum extent permitted by law, RakamHQ will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
12. Suspension & termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; we handle your data as described in our Privacy Policy, including deletion on request.
13. Changes to these Terms
We may update these Terms as the Service evolves. When we make material changes, we will notify account holders and update the "last updated" date. Continuing to use the Service after changes take effect means you accept the revised Terms.
14. Governing law & contact
These Terms are governed by the laws of Nepal, and the courts of Kathmandu have jurisdiction over any dispute, without prejudice to any mandatory consumer protections.
